为解决公司法施行后新旧法律的衔接适用问题，最高人民法院制定了《最高人民法院关于适用〈中华人民共和国公司法〉时间效力的若干规定》，已于2024年6月27日由最高人民法院审判委员会第1922次会议通过，自2024年7月1日起施行。
第一条与第二条
第一条 公司法施行后的法律事实引起的民事纠纷案件，适用公司法的规定。
第二条 公司法施行前与公司有关的民事法律行为，依据当时的法律、司法解释认定无效而依据公司法认定有效，因民事法律行为效力发生争议的下列情形，适用公司法的规定：……
