本法所称合伙企业，是指自然人、法人和其他组织依照本法在中国境内设立的普通合伙企业和有限合伙企业。

Scope of application (Article 2)
For the purposes of this Law, a partnership enterprise means a general partnership enterprise or a limited partnership enterprise established in China by natural persons, legal persons, and other organizations in accordance with this Law.
Derivative protection for limited partners (excerpt)
The law allows a limited partner whose interests in the limited partnership are harmed to assert rights against the responsible partner or bring suit in accordance with the statute and the partnership agreement.
Debt payment and bankruptcy (Article 92 excerpt)
Where a partnership enterprise is unable to pay debts as they fall due, a creditor may apply to the people's court for bankruptcy liquidation, or may require the general partners to make payment.
